Windows XP's "upgrade install" function requires only that you have a copy of a full version of some other version of windows on hand. For example, if you could even get ahold of an old copy of Windows 98 and put that in during the installation when it asks, that should do the trick.
However, you do need SOME disk to do a clean installation…legally, that is, of course.
