   its not a downgrade, its an upgrade, the i3 processor is in a diferent league to the core 2 duo and ddr3 ram is twice as fast, the losses you think of are trivial

   That computer is just about better in every single way. The features you lose are trivial.

   The things that you think cause it to be a downgrade don’t really seem that important so it may be only you that thinks it is.

   take the replacement. The 4GB DDR3 vs the old 4GB DDR2 is good enough to get the replacement. It is twice as fast. Windows 7 is so much better than Vista. You should consider yourself lucky that you are getting a free upgrade.
